This website is operated by GlossGenius, Inc. (“GlossGenius”, “we”, “us” and “our”) and is subject to the GlossGenius Terms of Service available at www.glossgenius.com/legal/terms and the GlossGenius Privacy Policy available at www.glossgenius.com/legal/privacy (collectively, the “GlossGenius Terms”), in addition to the below (the “Online Shop Terms”). The GlossGenius Terms are expressly incorporated into these Online Shop Terms by reference. Terms used but not defined herein have the meaning ascribed to them in the GlossGenius Terms. In the event of any conflict between the GlossGenius Terms and the Online Shop Terms, the Online Shop Terms shall govern. By accessing or using any part of this website or purchasing something from us (“Products”), you agree to be bound by the GlossGenius Terms and the Online Shop Terms. Please read both carefully. You agree to be bound by the Arbitration provisions of the GlossGenius Terms. 

shopbeauty.glossgenius.com (the “GlossGenius Store”) is hosted by Shopify Inc. Shopify Inc. provides us with the online e-commerce platform that allows us to sell the Products. We do not provide any warranties or make representations to you with respect to Shopify Inc. You acknowledge that we have no control over Shopify Inc.’s services and will not be responsible or liable to you or anyone else for such services.

Modifications to Pricing and Products

Prices for the Products are subject to change without notice. We reserve the right at any time to modify or discontinue offering the Products without notice at any time. We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Products.

From time to time, GlossGenius may offer promotions or discounts in the GlossGenius Store (“Promotions”). Promotions are subject to our Promotion Terms found at https://glossgenius.com/legal/promotion-terms. We may offer discounted pricing or “Buy One, Get One” for qualifying items specifically marked with a promotional badge listed in the GlossGenius Store. Promotion offers are valid while marked, while supplies last, or until we cancel or modify a Promotion. We reserve the right to modify or cancel a Promotion at any time without prior notice.

Unless otherwise specified, prices quoted are exclusive of: (a) the costs of shipping or carriage to the agreed place of delivery; and (b) value added tax and any other tax or duty which (where applicable) must be added to the price payable. You agree to pay for taxes, duties, shipping or carriage of the Products as such costs are specified by us when you submit your order. If any applicable taxes or duties are not fully pre-paid when you submit your order, you agree that you will be fully responsible for paying all applicable taxes and duties directly to the relevant authority. You further agree that you will be fully responsible for claiming back any taxes and duties from the applicable authority, to the extent possible, in cases of a return or any other eligible circumstances. Certain states have added delivery fees which are non-refundable. Where applicable, this will be included with estimated taxes, and if any items on your order are returned, such delivery fees will not be refunded as per state law. For more information on any such fees, please contact your state legislature. In addition, the price of international orders, or any applicable credits, at checkout can be affected by foreign exchange differences. If you choose to pay using a payment card with a currency denominated account, or any applicable credit, that is different from the currency of your order, additional charges and foreign exchange differences may apply. These charges and exchange rates applied are beyond our control.

We do not warrant that the quality of any Products, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. If a Product is not as described, your sole remedy is to return the item, unless otherwise specified in writing by us.

Accuracy of Billing and Account Information

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors. Products are for Professional use only and may not be resold to unauthorized parties. You agree to provide current, complete and accurate purchase and account information for all purchases made at the GlossGenius Store. You agree to promptly update your account and other information, including your email address and credit card numbers and expiration dates, so that we can complete your transactions and contact you as needed.

We have contracted with third parties, including Shopify Inc., and other third party payment processors and other service providers (each, a “Third Party Provider”), to facilitate purchases made on the GlossGenius Store. When you make a purchase through the GlossGenius Store, you will provide your payment details and any additional information required to complete your order directly to such Third Party Provider(s). You should be aware that online payment transactions are subject to validation checks by our Third Party Providers and your card issuer and we are not responsible if your card issuer declines to authorize payment for any reason. Please note, it is possible that your card issuer may charge you an online handling fee or processing fee. We are not responsible for this.

You agree to have sufficient funds or credit available upon placement of any such order to ensure that the purchase price will be collectible by us. After you place your order, we will send you a confirmation email (the “Order Confirmation”). The Order Confirmation means that your order request has been received. It does not mean that your order has been accepted or shipped or that the price or availability of an item has been confirmed.

Goods not for Export

GlossGenius is committed to maintaining the integrity of the GlossGenius Store for both Professionals and suppliers. You may only order Products if you are a licensed beauty services provider. You represent and warrant that all purchases are intended for final delivery to locations within the US.

Errors, Inaccuracies and Omissions

Occasionally there may be information on this website that contains typographical errors, inaccuracies or omissions that may relate to product descriptions, pricing, promotions, offers, product shipping charges, transit times and availability. We reserve the right to correct any errors, inaccuracies or omissions, and to change or update information or cancel orders if any information on this website is inaccurate at any time without prior notice (including after you have submitted your order). We reserve the right, at our sole discretion, to not process or to cancel any orders placed for a Product whose price was incorrectly posted on the GlossGenius Store as a result of an error. If this occurs, we will notify you by email. The GlossGenius Store may contain information regarding the availability of Products. In rare cases, a Product may be in stock when you place the order, and sold out by the time we attempt to process the order. Should this happen, we will notify you by email and cancel the item from your order. We also may offer some Products for sale before they have been manufactured. In rare cases, these items may not become available for shipping. Should this happen, we will notify you by email and cancel the item from your order.

We undertake no obligation to update, amend or clarify information on this website, including without limitation, pricing information, except as required by law. We have made every effort to display as accurately as possible the colors and images of Products that appear at the GlossGenius Store. We cannot guarantee that your computer monitor's display of any color will be accurate.

Shipping, Refunds & Returns

Shipping estimates will be provided to you at the time of order. These are estimates only and cannot be guaranteed. You will pay all shipping and handling charges specified during the ordering process. Shipping and handling charges are reimbursement for the costs we incur in the processing, handling, packing, shipping, and delivery of your order. GlossGenius is not liable for any delays in shipments. Title and risk of loss pass to you upon delivery.

If for any reason you are not satisfied with your order, you have 30 days from the purchase date to return your Products. To return your item, please contact a returns specialist at care@glossgenius.com, and we will get back to you as soon as possible with next steps for a refund to your original form of payment. You are responsible for the cost of return shipping. For defective returns, please refer to the manufacturer's warranty included with the Product.

Optional Tools

We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.

You acknowledge and agree that we provide access to such tools “as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

Any use by you of the optional tools offered through the GlossGenius Store is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).

We may also, in the future, offer new Services and/or features through the GlossGenius Store (including, the release of new tools and resources). Such new features and/or Services shall also be subject to these Online Shop Terms.

Indemnification

You agree to indemnify, defend and hold harmless GlossGenius and our subsidiaries and affiliates, and each of our respective directors, officers, partners, employees, and agents, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Online Shop Terms or the documents they incorporate by reference.

Limitation of Liability

EXCEPT AS OTHERWISE REQUIRED BY LAW, GLOSSGENIUS, OUR AFFILIATES, AND OUR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS (COLLECTIVELY, THE “GLOSSGENIUS PARTIES”) MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE PRODUCTS, INCLUDING BUT NOT LIMITED TO THE GLOSSGENIUS STORE’S ACCURACY, RELIABILITY, COMPLETENESS, TIMELINESS OR RELIABILITY. THE GLOSSGENIUS PARTIES SHALL NOT BE SUBJECT TO LIABILITY FOR THE TRUTH, ACCURACY OR COMPLETENESS OF THE CONTENT OR THE GLOSSGENIUS STORE OR ANY OTHER INFORMATION CONVEYED TO THE USER OR FOR ERRORS, MISTAKES OR OMISSIONS THEREIN OR FOR ANY DELAYS OR INTERRUPTIONS OF THE DATA OR INFORMATION STREAM FROM WHATEVER CAUSE. YOU AGREE THAT YOU USE THE PRODUCTS AT YOUR OWN RISK.

THE GLOSSGENIUS PARTIES DO NOT WARRANT THAT THE GLOSSGENIUS STORE WILL OPERATE ERROR FREE OR THAT THE GLOSSGENIUS STORE, ITS SERVERS, OR THE CONTENT ARE FREE OF COMPUTER VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. IF YOUR USE OF THE GLOSSGENIUS STORE OR THE CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, NO GLOSSGENIUS PARTY SHALL BE RESPONSIBLE FOR THOSE COSTS.

EXCEPT AS OTHERWISE REQUIRED BY LAW, THE PRODUCTS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND. THE GLOSSGENIUS PARTIES DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTIES OF TITLE, MERCHANTABILITY, NON INFRINGEMENT OF THIRD PARTIES RIGHTS, AND FITNESS FOR PARTICULAR PURPOSE.

IN NO EVENT SHALL ANY GLOSSGENIUS PARTY BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, INCIDENTAL AND CONSEQUENTIAL DAMAGES, LOST PROFITS, OR DAMAGES RESULTING FROM LOST DATA OR BUSINESS INTERRUPTION) RESULTING FROM THE USE OR INABILITY TO USE THE PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SUCH GLOSSGENIUS PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY DIRECT DAMAGES IN EXCESS OF (IN THE AGGREGATE) $500.00.

GLOSSGENIUS IS NOT THE MANUFACTURER OF THE PRODUCTS AND DOES NOT ENDORSE, WARRANT OR GUARANTEE ANY PRODUCTS, BRANDS, MANUFACTURERS OR SUPPLIERS. TO OBTAIN WARRANTY SERVICE FROM A MANUFACTURER, YOU MUST FOLLOW ANY APPLICABLE INSTRUCTIONS PROVIDED BY THE MANUFACTURER DIRECTLY. YOU AGREE THAT GLOSSGENIUS IS NOT LIABLE FOR ANY DAMAGES ARISING OUT OF ANY MANUFACTURER’S FAILURE TO HONOR ANY WARRANTY OBLIGATIONS TO YOU.

Some jurisdictions do not allow exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations or exclusions may not apply to you. IN SUCH JURISDICTIONS, THE LIABILITY OF THE GLOSSGENIUS PARTIES SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS AFFECTS ANY LEGAL RIGHTS AND REMEDIES YOU HAVE UNDER LOCAL LAW.

We reserve the right, in our sole discretion, to change, modify, add, or remove portions of the Online Shop Terms. Your use of this website after we have updated the Online Shop Terms constitutes your acceptance of the updated Online Shop Terms.  We will provide you with notice of any material changes to these Online Shop Terms by updating the “Last Updated” date. The Online Shop Terms, and the relationship between you and us, shall be governed by the laws of the State of New York, United States of America, without regard to conflict of law provisions.
